Welcome to WhatsRCS ("WhatsRCS," "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the website whatsrcs.com and all related RCS (Rich Communication Services) messaging, campaign management, and customer engagement services (collectively, the "Services"). By accessing our website, submitting our contact form, registering an account, or using any of our Services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
If you do not agree to these Terms, you must not access or use the Services.
1. Definitions
- "Services" means the RCS messaging platform, campaign creation tools, customer list management, message delivery, reporting and analytics, RCS Agent registration assistance, and any related services provided by WhatsRCS.
- "RCS" or "Rich Communication Services" means the messaging protocol that enables sending of text, images, video, carousels, and interactive call to action buttons over compatible mobile networks and devices.
- "RCS Agent" means the messaging profile or business identity registered with Google LLC and its affiliates, including Jibe Mobile Inc. (collectively, "Google"), and relevant mobile network operators ("Carriers"), that allows a business to send RCS messages.
- "Content" means any text, images, videos, carousels, links, customer lists, contact details, or other material submitted, uploaded, or transmitted by Customer through the Services.
- "Platform" means the website located at whatsrcs.com and any associated applications, dashboards, or portals
2. Description of Services
WhatsRCS provides an affordable RCS based messaging solution that allows businesses to communicate with their customers using rich media formats. Through the Platform, Customer may:
- Submit details to register an RCS Agent with Google on Customer's behalf
- Upload customer contact lists for campaign purposes
- Create and schedule messaging campaigns
- Choose between text, image, video, and carousel message formats
- Add call to action buttons to direct recipients toward a desired action
- Access reports covering messages sent, delivered, and call to action interactions
The Services are intended to provide a cost effective alternative to other messaging channels while retaining rich media and verified sender capabilities.
3. Eligibility and Account Registration
To use the Services, Customer must be a registered business or an authorized representative of a business, and must provide accurate, current, and complete information during the sign up, registration, or contact form process. Customer is responsible for maintaining the confidentiality of any login credentials and for all activity that occurs under its account. Customer must promptly notify WhatsRCS of any unauthorized use of its account.
4. RCS Agent Registration and Third Party Policies
4.1 To use the Services, an RCS Agent must be registered with Google and the relevant Carriers. Customer authorizes WhatsRCS to submit Customer's information and complete the registration process with Google and Carriers on Customer's behalf, and agrees to promptly provide any information, documentation, or verification required for this purpose.
4.2 Customer acknowledges that the availability and functioning of the Services depend on Google's and the Carriers' systems, policies, and approval processes, which are outside WhatsRCS's control. By using the Services, Customer agrees to comply with:
- Google's terms of service for RCS Business Messaging, as published and updated by Google from time to time
- Any policies issued by Jibe Mobile Inc. relating to RCS for Business
- The terms, conditions, and acceptable use policies of any mobile network operator through which messages are delivered
4.3 Customer acknowledges that Google and the Carriers may, at their sole discretion, change, suspend, restrict, or discontinue support for RCS Agents, message types, or features at any time, and WhatsRCS shall not be liable for any resulting impact on the Services.
5. Acceptable Use Policy
Customer agrees not to use the Services to send, and warrants that any Content submitted does not include:
- Unsolicited messages to recipients who have not consented to receive communications from Customer ("spam")
- Content that is unlawful, fraudulent, deceptive, defamatory, obscene, or that infringes the rights of any third party
- Phishing, malware, or any content intended to harm, mislead, or deceive recipients
- Content promoting illegal goods or services, hate speech, or material that violates applicable advertising, telecommunications, or data protection laws
- Messages that violate Google's, Jibe's, or any Carrier's content and messaging policies
Customer is solely responsible for ensuring that it has obtained all necessary consents from individuals on its customer lists prior to sending messages, and for honoring opt out requests promptly. WhatsRCS reserves the right to review, suspend, or remove any Content or campaign that it reasonably believes violates this policy, and to suspend or terminate accounts for repeated or serious violations.
6. Customer Content and Data
- 6.1 Customer retains ownership of all Content, including customer contact lists, that it uploads to the Platform. Customer grants WhatsRCS a limited, non-exclusive license to use, store, process, and transmit such Content solely for the purpose of providing the Services.
- 6.2 Customer represents and warrants that it has the legal right to collect, use, and share with WhatsRCS any personal data contained in its customer lists, and that such collection and use complies with applicable data protection laws.
- 6.3 Customer is responsible for maintaining backup copies of its Content. WhatsRCS is not responsible for any loss or corruption of Content, although WhatsRCS will use commercially reasonable efforts to safeguard data stored on the Platform.
7. Fees, Billing and Payment
- 7.1 Fees for the Services will be communicated to Customer separately, whether through a pricing page, quotation, invoice, or order form, and form part of these Terms by reference.
- 7.2 Unless otherwise agreed in writing, fees are based on the volume and type of messages sent and any applicable platform or subscription charges.
- 7.3 Customer agrees to pay all fees in accordance with the agreed payment terms. WhatsRCS reserves the right to suspend the Services if payment is overdue, after providing reasonable notice to Customer.
- 7.4 All fees are exclusive of applicable taxes, duties, or governmental charges unless stated otherwise, and Customer is responsible for any such amounts.
- 7.5 WhatsRCS reserves the right to revise its fees from time to time, with prior notice to Customer. Continued use of the Services after such notice constitutes acceptance of the revised fees.
8. Intellectual Property
All rights, title, and interest in and to the Platform, including its software, design, branding, trademarks, and documentation, are and shall remain the exclusive property of WhatsRCS or its licensors. Nothing in these Terms grants Customer any right to use WhatsRCS's name, logo, or trademarks without prior written consent.
9. Service Availability, Changes and Disclaimers
- 9.1 WhatsRCS will use reasonable efforts to maintain the availability of the Services but does not guarantee uninterrupted or error free operation, particularly given the dependence of RCS delivery on third party networks, devices, and Google's infrastructure.
- 9.2 WhatsRCS may modify, update, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
- 9.3 The Services are provided on an "as is" and "as available" basis. Except as expressly stated in these Terms, WhatsRCS disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. WhatsRCS does not warrant that messages will be delivered to, or successfully displayed on, every recipient device, as this depends on factors outside WhatsRCS's control, including recipient device compatibility and Carrier support for RCS.
10. Limitation of Liability
To the maximum extent permitted by applicable law, WhatsRCS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the use of, or inability to use, the Services, whether based on contract, tort, or any other legal theory, even if WhatsRCS has been advised of the possibility of such damages.
WhatsRCS's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by Customer to WhatsRCS in the three months preceding the event giving rise to the claim.
11. Indemnification
Customer agrees to indemnify, defend, and hold harmless WhatsRCS, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) Customer's Content or messaging campaigns; (b) Customer's breach of these Terms or applicable law; or (c) Customer's violation of any rights of a third party, including data protection or consumer protection rights of message recipients.
12. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information only for purposes of performing its obligations under these Terms, except where disclosure is required by law.
13. Term, Suspension and Termination
- 13.1 These Terms remain in effect for as long as Customer maintains an account or uses the Services.
- 13.2 WhatsRCS may suspend or terminate Customer's access to the Services, with or without notice, if Customer breaches these Terms, fails to make payment when due, or if required to do so by Google, a Carrier, or applicable law.
- 13.3 Customer may terminate its use of the Services at any time by providing written notice to WhatsRCS, subject to any minimum term or notice period agreed separately.
- 13.4 Upon termination, Customer's right to access the Services will cease, and any outstanding fees will become immediately due. Provisions relating to intellectual property, confidentiality, indemnification, and limitation of liability shall survive termination.
14. Third Party Services
The Services rely on infrastructure and services provided by Google, Jibe Mobile Inc., and various mobile network operators. Customer acknowledges that these third parties are not party to these Terms, and that their respective terms, policies, and service levels may apply independently to Customer's use of RCS messaging. WhatsRCS is not responsible for any acts, omissions, outages, or policy changes by these third parties.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction], unless the parties agree to resolve the dispute through mutually agreed arbitration.
16. Changes to These Terms
WhatsRCS may update or modify these Terms from time to time. The updated Terms will be posted on whatsrcs.com with a revised "Last Updated" date. Continued use of the Services after such changes take effect constitutes acceptance of the revised Terms. Customer is encouraged to review these Terms periodically.
17. General Provisions
- 17.1 Entire Agreement. These Terms, together with any order forms, pricing pages, or policies referenced herein, constitute the entire agreement between Customer and WhatsRCS regarding the Services and supersede any prior agreements or understandings.
- 17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- 17.3 Assignment. Customer may not assign or transfer its rights or obligations under these Terms without WhatsRCS's prior written consent. WhatsRCS may assign these Terms in connection with a merger, acquisition, or sale of assets.
- 17.4 Force Majeure. Neither party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, network outages, or actions taken by Google or Carriers.
- 17.5 No Waiver. Failure by either party to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
